OFFICIAL RULES

ELIGIBILITY:

The Diski Dance Your Way To The 2010 FIFA World Cup South Africa Contest™ (“Contest”) is open only to legal residents of the 50 United States or District of Columbia, ages 18 and older. Employees of South African Tourism (“Sponsor”), the Government of South Africa and any entities affiliated with the Government of South Africa, the Fédéracion Internationale de Football Association, or of entities involved with the development, implementation and administration of the Contest and immediate family members (spouses and parents, siblings and children and spouses of the foregoing) and members of the same household of such individuals are not eligible. Void where prohibited.

CONTEST PERIOD:

Contest begins 02/01/10 at 12:01 AM ET and ends 04/25/10 at 11:59 PM ET.

REGISTRATION:

Fully complete and timely submit a Registration Form along with the video entry, as per the HOW TO PARTICIPATE and HOW TO ENTER sections below. No other form of entry/participation in the Contest will be accepted.

HOW TO PARTICIPATE:

Go to www.southafrica.net/dance and access the Contest page to view videos of the Diski dance. Perform and record your version of the dance using the Diski music available in MP3 format or music of your own choice. The dance, costumes and setting should incorporate the dual themes of South Africa and soccer and reflect your creative thinking. The video may be in color or black and white and must be approximately 60 seconds. You may include as many other persons in your video as you like. It is strongly advised that you obtain a dated and signed statement from each such person granting his/her consent to appear in the video and acknowledging that you alone are the contestant. Additionally, if you (i.e., the contestant) are not the videographer (i.e., the person who made the video), it is strongly advised that you obtain from the videographer a dated and signed statement granting the right to use the video in the Contest and as specified in these Official Rules. Sponsor, at its sole discretion, may require submission of such statements by person(s) other than contestant appearing in video and/or videographer (if not contestant him/herself) within a specified time as a condition of contestant’s continued eligibility in the Contest and/or these statement(s) may be required as a condition of winner verification as per JUDGING OF ENTRIES below (if not previously requested by Sponsor).

HOW TO ENTER:

Access the Registration Form and provide all information requested. Follow instructions to upload the prepared video and click on the link to submit the video and completed Registration Form no later than 11:59 PM ET on 04/25/10. Video entry must be created by a single individual; no joint or group entries will be accepted. Entry will not be valid and will be void unless the individual making the submission checks the box affirming his/her eligibility, agreement to and compliance with these Official Rules. Limit of one (1) entry per person/family/household/e-mail address.

ABOUT ENTRIES:

Video entry must be solely the original work of entrant. DO NOT COPY THE WORKS OF OTHERS. Without limiting the foregoing, video entry cannot include any content not owned exclusively by entrant; video entry must not violate or infringe upon the intellectual property or other rights (e.g., right to privacy, right of publicity, trademark, copyright) of any third party. Video entry must not include any content that is inappropriate or unfit for publication (e.g., profanity, nudity, racist matter, illegal acts) or promote a commercial/business enterprise, a charity, political, religious cause or any cause other than the Contest theme as set forth in HOW TO PARTICIPATE above. If Sponsor, in its sole discretion, suspects that a video entry does not comply with one or more of the preceding requirements, video entry and entrant submitting same will be disqualified.

POSTING OF ENTRIES:

Sponsor may, in its sole discretion, elect to post one or more video entries on www.southafrica.net. Posting of video entries is for entertainment purposes only and does NOT constitute any representation by Sponsor that such video entry is eligible for the Contest or that the entrant submitting same has won the Grand Prize in the Contest. (Potential Grand Prize winner will be notified personally by Sponsor via the procedure set forth in JUDGING OF ENTRIES below.) Entrant further releases and agrees to hold harmless Sponsor from any and all liability associated with possible posting of video entry, including his/her express acknowledgment that if video entry is posted (a) he/she will NOT receive any compensation in conjunction therewith nor will he/she have any right of review or approval relative to same; (b) the video entry as posted on www.southafrica.net may differ from the video entry as submitted by entrant and may not be fully functional at all times, due to technological limitations/malfunctions/errors or other cause; (c) Sponsor may accompany the video entry with comment/commentary and/or other content in its sole discretion; (d) video entries may be displayed on www.southafrica.net in any pattern, sequence or format, and such pattern/sequence/format may or may not be rotated or varied, in Sponsor’s sole discretion; and (e) Sponsor will determine the form/content of attribution of video entry to entrant or may refrain from attributing video entry to entrant altogether, in its sole discretion. Nothing herein obligates Sponsor to post any video entries on www.southafrica.net and Sponsor shall have no liability should it elect not to post a video entry for any reason. A POSTED VIDEO ENTRY REPRESENTS SOLELY THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT WHO CREATED SUCH VIDEO ENTRY AND DOES NOT REFLECT THE VIEWS/OPINIONS OF SPONSOR IN ANY MANNER. SPONSOR IS ACTING AS A PASSIVE CONDUIT FOR THE POSTING OF VIDEO ENTRIES AND HAS NO OBLIGATION TO AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONJUNCTION WITH SCREENING, MONITORING OR REVIEWING THE CONTENT OF VIDEO ENTRIES.

JUDGING OF ENTRIES:

Each eligible entry will be judged by representatives of Sponsor on the basis of creativity, preparation, adherence to soccer theme, adherence to South African theme, dance skills and performance, and video editing and presentation. The potential winner is the entrant whose video entry is ranked the highest by Sponsor. Potential winner will be notified by telephone or e-mail on or about 05/03/10 and must complete and submit in a time to be specified the following documentation: (a) an Affidavit of Eligibility, a Liability Release and a Publicity Release (where lawful); (b) a written consent from each person other than entrant appearing in video (and, if person is a minor in his/her jurisdiction of residence, a consent from such person’s parent/legal guardian), if not previously furnished by entrant to Sponsor as per HOW TO PARTICIPATE above; (c) a grant to Sponsor of an unrestricted license to use in any media at any time or times the video entry, in its original or edited form, or any still, image or photo in its original or edited form taken from the video entry, without any notice, review or approval of such use or uses; and (d) the written grant to Sponsor by the videographer of the right to use the video in the Contest and as stated in the Official Rules, if not previously furnished by entrant to Sponsor as per HOW TO PARTICIPATE above (collectively, “Documents”), as well as having his/her guest on Grand Prize trip complete and submit a Liability Release and a Publicity Release (where lawful) within time specified by Sponsor. If for any reason potential winner fails to timely return the completed and signed Documents or Sponsor is unable to contact potential winner for any reason, such potential winner will be disqualified and an alternate potential winner will be selected; the alternate potential winner being the entrant whose video entry is ranked immediately below that of the disqualified (previously selected) potential winner.

GRAND PRIZE:

The Grand Prize is a trip for the winner and one (1) guest to attend a 2010 World Cup soccer match in Cape Town, South Africa, 06/26/10 – 07/01/10. The trip consists of round trip economy air travel from major commercial airport near winner’s residence (as selected by Sponsor in its sole discretion) to Washington, DC or New York, NY as gateway airport (selection of gateway airport also being in Sponsor’s sole discretion), round trip economy air travel from gateway airport to Cape Town, hotel accommodations (double room), two tickets to a 2010 World Cup Round of 16 soccer match on 06/29/10 (national teams competing in match depend on results of preceding 2010 World Cup matches). Approximate Retail Value of Grand Prize is $10,000. Actual value of Grand Prize depends on airfare fluctuations and other factors and winner will not receive difference between approximate retail value and actual value of Grand Prize.

PRIZE RESTRICTIONS:

Trip must be taken on indicated dates at times determined by Sponsor in its sole discretion. If winner is not available on such dates/times for any reason, winner will be disqualified, with the prize being forfeited.

Prize is subject to availability and other restrictions. Tickets to soccer match are subject to terms/conditions indicated thereon. Any and all expenses not specified in these Official Rules are winner’s sole responsibility. No prize transfer. No cash or prize substitution except Sponsor in its sole discretion may substitute prize or any part thereof for one of comparable value. All taxes on prize and required tax filings are winner’s sole responsibility. Winner and guest must travel on same itinerary as set by Sponsor in its sole discretion. Winner and guest are solely responsible for having valid passports and any other necessary travel documents. If winner’s guest is a minor in his/her jurisdiction of residence, such minor guest may only accompany his/her parent/legal guardian (i.e., the winner) on Grand Prize trip and the Liability Release and Publicity Release (where lawful) must be signed by minor’s parent/legal guardian on minor’s behalf (see JUDGING OF ENTRIES above).

GENERAL CONDITIONS:

By participating in the Contest, you agree (a) to these Official Rules and the decisions of Sponsor and its authorized agents, which decisions shall be final, binding and not subject to appeal; (b) to release, discharge, indemnify and hold harmless Sponsor, the Government of South Africa, the Fédéracion Internationale de Football Association, their agents and their respective officials, directors, officers and employees (“Contest Entities”) from any and all liability resulting, in whole or in part, directly or indirectly, from participation in the Contest and acceptance and use of the prize, including but not limited to liability for personal injury, death, damage to or loss of property, or infringement of an individual’s right to privacy or right of publicity; (c) that Sponsor has made no warranty, representation or guarantee of any kind, express or implied, direct or indirect, regarding the prize or any element of the prize; (d) if you are the winner, that the winning video entry will be deemed a Work Made For Hire under the Copyright Laws of the United States, but if it cannot be so considered, you irrevocably assign and transfer to Sponsor all right, title and interest in and to the video entry in the United States and worldwide and agree to complete, sign and return any and all documents necessary to perfect, record or effect such assignment/transfer; (e) if you are the winner, to the use for advertising and publicity purposes in all media of your name, images from the winning video entry, any photographs, video or film taken of you on the Grand Prize trip, all without prior notification, review, consent or additional compensation, except where prohibited by law.

LIMITATIONS OF LIABILITY:

Contest Entities are not responsible for late, lost, illegible, damaged or misdirected video entries, Registration Forms, mail or e-mail regardless of cause; or for any computer, hardware, software, technical or other problems or errors, including web site unavailability or the failure to capture any submitted material or the loss of such material; nor are they responsible for any incorrect or inaccurate information or for the loss or theft of personal information, whatever the cause thereof. If, for any reason, the Contest is not capable of running as originally planned or intended such that Sponsor determines in its sole discretion that the fairness or integrity of the Contest could be corrupted or affected, Sponsor reserves the right in its sole discretion to terminate, cancel or modify the Contest and to proceed with the Contest (and award the prize) in a manner which Sponsor in its sole discretion deems to be fair, appropriate and consistent with these Official Rules. In such event, notice thereof will be posted on www.southafrica.net/dance. Sponsor reserves the right to disqualify entries or contestants that it deems in its sole discretion are not in compliance with these Official Rules. Any attempted or actual acts of tampering (as determined by Sponsor in its sole discretion) will result in disqualification; and, in such event, Sponsor may take all other actions deemed necessary in its sole discretion to protect its rights.

GOVERNING LAW/DISPUTE RESOLUTION:

This Contest shall be governed by and interpreted under the laws of the State of New York without regard to conflict of laws doctrine of any jurisdiction; and any disputes, claims or causes of action shall be resolved only in a state or federal court located in the County of New York, State of New York. To the fullest extent permitted by law, any and all claims, judgments and awards shall be brought individually (NOT as part of a class action) and are limited to actual out-of-pocket costs incurred and under no circumstances will participants be permitted to obtain awards for and participants hereby waive all rights to claim, punitive, incidental, special, consequential or any other damages other than for actual out-of-pocket costs and all rights to have damages multiplied or otherwise increased.

PRIVACY POLICY:

Information submitted is subject to the Privacy Policy stated at www.southafrica.net, except to the extent stated in these Official Rules.
